Think Partnership to Acquire IceRocket

Ice_rocketMEDIA POST — Apr 14 — Think Partnership agreed to purchase IceRocket, billionaire Mark Cuban's blog search engine. Earlier this month, Think acquired Litmus Media for ~$13 million, and is incorporating Litmus' PPC search ad network, click fraud prevention and shopping cart abandonment tools into its portfolio of Web companies. 

Mark Brooks: The Think Partnership / CGI Holding bandwagon keeps on rolling. It split off it's online dating properties recently, however.

Think Partnership to Sell Its Online Dating Properties

Thinkpartnership_1BUSINESS WIRE — Mar 22 — Think Partnership (CGI Holding) will sell its online dating and online education businesses (Cherish,  Personals Plus and Vintacom, and Real Estate School Online) to MWXI to Mountains West Exploration for $21 million cash and $9 million unregistered common stock. The subsidiaries were acquired by the Company during the past two years, for $23,125,000 ($10.7 million cash, $11.2 million common stock of THK, and $1.2 million in notes).

Mark Brooks: And the core business of Mountains West Exploration… Marketing? Internet? Matchmaking? Anything remotely similar?  Nah.  Profile "The principal activities of the Company is to acquire, explore and develop coal bed methane in the South Central Colorado region. The Company has approximately 4,740 gross acres of oil and gas leases rights in South Central Colorado, located in the southwestern part of the Raton Basin."  ???

Think Partnership Secures $17.5 Million Credit with Wachovia

Think_partnershipBUSINESS WIRE — Jan 23 –CGI Holding Corporation d/b/a Think Partnership today announced that it has secured $17.5 million of credit with Wachovia Bank.  Gerard M. Jacobs, chief executive officer of Think Partnership, stated, "Closing this credit facility with Wachovia Bank is a major milestone for Think Partnership, and is the first of several steps we intend to take during 2006 in regard to the financing of our growing company."  Think Partnership currently operates: Cherish (online dating), Vintacom Media Group (online dating) , Personals Plus (online dating), KowaBunga! Marketing (internet marketing software, affiliate marketing, search engine marketing, e-mail marketing), PrimaryAds (affiliate network), MarketSmart Interactive (SEO/PPC campaign management), MarketSmart Advertising, Rightstuff d/b/a Bright Idea Studios, Checkup Marketing, (off-line advertising, PR, marketing, branding, shopping evaluation services), and Ozona Online Network (web design, custom web apps, database systems, hosting, e-commerce, internet access), Real Estate School Online, Morex Marketing Group (marketer to expectant parents).  The Company has letters of intent to acquire: Web Diversity Limited (London-based paid search management, organic search), Crystal Semantics and Crystal Reference (internet content and search technology, European educational content), iLead Media (online lead generation), Litmus Media (secure ad feed distribution).

Think Partnership to Acquire Litmus Media

Litmus_mediaYAHOO FINANCE — Dec 19 — Litmus Media marketing platform detects and protects against click fraud, increasing click-to-transaction conversion ratios and maximizing search marketing return on investment.  Litmus has also developed and implemented a highly effective patent-pending abandoned shopping cart recovery technology called Second Bite, which increases sales for online retailers.  The Company expects Litmus to add more than $4 million of pre-tax income to the Company during 2006. Purchase price is $6.5 million in cash and $6.5 million stock and earnout payments for shareholders up to a maximum aggregate of $21 million.

Think Partnership to Acquire iLead Media for Lead Generation

Ilead_mediaBUSINESS WIRE — Dec 6 — Think Partnership expects iLead to add more than $3 million of pre-tax income to the Company during 2006. $7 million in cash and $7 million in common stock.  Based in Utah, iLead Media creates one-of-a-kind, permission-based online lead generation campaigns and permission-based telemarketing leads to call centers around the world, and has strong relationships with affiliate marketing networks.

Think Partnership Acquires Vintacom for $2.75M, 1.1M Shares

Think_partnershipYAHOO NEWS CANADA — Dec 5 — Think Partnership has bought Canadian-based online dating company Vintacom Media Group Inc. in a cash-stock deal valued at about $5.2 million US. Vintacom hosts over 120 online dating sites in Canada and the U.S. Vintacom CEO Brad Hogg will continue to head the business, which employs 100 people.

Think Partnership Q1 Results

Think_partnership_1BUSINESS WIRE — May 17 — CGI Holding Corporation d/b/a Think Partnership reported record revenue of $10.2 million (166% increase) for Q1 2005. Pre-tax income was $1.4 million (48% increase).  After-tax net income was $879k (37% increase).  CEO Gerard  Jacobs stated, "We are expecting Think Partnership's revenue for the full year 2005 to exceed $70 million." Think Partnership has eight subsidiaries: WebSourced (and Keyword Ranking), MarketSmart Advertising, Rightstuff (Bright Idea Studios), Checkup Marketing, Cherish, Ozona Online Network, KowaBunga! and PrimaryAds…and has signed letters of intent to acquire Vintacom (Relationship Exchange).
