Open Letter to the Shareholders of Spark Networks

Sparknetworks logo 2018BUSINESS WIRE – Sep 30 – We have closed our largest acquisition (Zoosk) to date which has accelerated our expansion in North America. Shares of Spark have lost more than a third of their value thus far in 2019 and over 50% since the deal closed on July 1, 2019. The losses are largely the result of concentrated share sales by a minority of our shareholder base and not the result of financial or operational under-performance. Since the close of the Zoosk transaction, ~5M Spark shares have traded, representing 20% of our total shares outstanding. Spark Networks is active in the market of serious relationships. Through the acquisitions of Jdate, JSwipe, and Christian Mingle, Attractive World in France, and Zoosk, the company has quadrupled its revenue from €60M in 2015 to €250M on a pro forma basis in 2018.

Match Group Welcomes a New Board Member

Match group shar dubeyBOSS BETTY – Sep 30 – Match Group is appointing its president, Shar Dubey, to the board of directors. Dubey's new position comes as Sam Yagan, who previously served as both vice chairman and CEO of Match and co-founded OkCupid, resigned his seat. No reason was given for his departure from the board. Prior to her role as president of Match Group, Dubey served as president of Match Group North America, COO of Tinder and chief product officer of Match. Before joining the company, she served as EVP and chief product officer of The Princeton Review. Her appointment makes Match's board 40% women.

What Online Dating Experts Think About Facebook Dating

Facebook dating secret crushTHE ZOE REPORT – Sep 30 – "We found that 40% of online daters don't feel that there's a dating app, site, or platform that meets their needs," said Charmaine Hung, the Facebook Dating project manager. "Facebook Dating makes it easier to find love through what you like," she explains. So, what do online dating experts think of this venture? Mark Brooks, consultant to internet dating CEOs at CourtlandBrooks.com, says he's all for the digital dating platform. "It's vastly superior to the average startup dating app because Facebook is instantly at critical mass," he notes. When it comes to features, he says he's particularly a fan of Secret Crush. "The 'double like' features in HotOrNot, Badoo, Tinder, and POF always made sense," he says, praising FB for offering a similar option. Plus, "putting a cap on crushes by allowing nine is brilliant. It's just enough to quickly identify the very topmost mutual crushes, which should really be thrilling for many." All in all, Brooks has high hopes for the dating platform. "Facebook knows when they've been successful. Over time they should be able to see their patterns of success that will allow them to improve their algorithms over time," he concludes. Fellow online dating consultant Steve Dean, founder of Dateworking and host of the Modern Connection Podcast, has been using the platform himself for a couple of weeks – and so far, he's not impressed. "It currently feels as though Facebook has done nothing whatsoever with its matching algorithms, leaving users with a lineup of truly terrible matches," he says. "Worse, the structure of the app essentially forces users into 'Tinder-ized' dopamine loops where they're simply liking or rejecting users based on photos. He compares its user experience to Tinder and its profile setup to Hinge, giving it an overall vibe that's "disingenuous and very uncreative." But despite his criticisms, Dean admits that Facebook has a unique vantage point when it comes to data, something that could benefit its matching structure in the future.

Match Group Subpoenaed by DOJ

Ftc building picFOX BUSINESS – Sep 27 – The FTC alleged Tinder, OKCupid, and Plenty of Fish relied on "fake accounts created by fraudsters" to entice new users between 2013 and the middle of 2018. Match also "exposed consumers to the risk of fraud by providing recent subscribers access to communications that Defendant knew were likely to have been sent by persons engaging in fraud." In Nov '18, the FTC offered to resolve its potential claims via a consent judgment mandating certain changes in the company's business practices, as well as a payment in the amount of $60 million. No resolution was reached. The FTC referred the matter to the DOJ. The DOJ opted not to pursue the civil case and referred it back to the FTC who then filed a lawsuit "making completely meritless allegations supported by consciously misleading figures."

Mark Brooks: Scammers are sometimes tough to identify. Their activity can lead to increases in conversions. Good for short term profits. Terrible in the long term for both impacted users and the dating brand. Once a scammer has been identified at a reasonable level of confidence, the best practice is to notify users that they've been in contact with a scammer and to block the scammers device and ideally communicate their device id to other dating apps so they can be proactive in quarantining that device from gaining access to users again. Seems to me the FTC is putting a solid heal down on anything that alludes to us not being anything less than super aggressive against scammers. Will legislation follow? The DOJ kicked this back, so perhaps not…quite yet. iovation, Scamalytics, Spectrum, Threatmetrix, Kount, 41st Parameter. There's a raft of scammer id tools available for dating apps. The best dating apps make good use of automated tools and review/abuse teams to maintain the highest possible quality of real communications from real people. It's a shocker that Match is embroiled in this offense from the FTC, but important that we all take the hint and get our best game on when it comes to kicking scammers asses. IAC Spins a Compelling Prospect

Iac logoWALL STREET JOURNAL – Sep 26 – IAC is considering spinning off one or both of its biggest assets: Online-dating giant Match Group and ANGI Homeservices, which owns HomeAdvisor and Angie's List. Analysts estimate Match and ANGI combined will comprise 71% of IAC's total revenue in 2019. Investors seem to be puzzled, sending IAC shares down ~14% this month, although some of this weakness was related to the Federal Trade Commission suing Match. Analysts, however, see hidden value in IAC's remaining assets such as Vimeo and Dotdash. The full remaining portfolio could be worth quite a bit if it had the company's complete attention. IAC could generate revenue of $1.5B in 2020, rising to $2B by 2024. Assuming IAC unloads $1B of debt to Match and ANGI, analysts see valuation upside of 9% to 26% from current levels if both assets are spun off.

Match.com Sued by FTC for Using Scammers’ Profiles to Lure Subscribers

Match group logo blue 2019FTC – Sep 26 – The Federal Trade Commission is suing Match Group for allegedly using fake accounts to get more people to sign up for paid subscriptions. "We believe that Match.com conned people into paying for subscriptions via messages the company knew were from scammers," said Andrew Smith, Director of the FTC's Bureau of Consumer Protection. Match allows users to create profiles free of charge, but prohibits them from responding to messages without paying. The FTC alleges that millions of contacts that generated Match's "You caught his eye" notices came from accounts the company had already flagged as likely to be fraudulent. By contrast, Match prevented existing subscribers from receiving emails from a suspected fraudulent account. In a statement, Match Group dismissed the FTC accusations as "completely meritless" and says the allegations are supported by "consciously misleading figures." The FTC also alleges Match deceptively induced consumers to subscribe to Match.com by promising them a free six-month subscription if they did not "meet someone special," without adequately disclosing that consumers must meet numerous requirements before the company would honor the guarantee.

Facebook Is Undervalued by 25%

Investors even voted to dethrone Zuckerberg as the company's board chairman and overhaul the current voting structure. Such events have held the stock price away from all-time highs. Investors often forget that Facebook has arguably the best financials in Wall Street. A potential rivalry between Match Group and Facebook Dating makes no sense. Both companies can coexist because they serve two different consumer groups. While Tinder can serve as the more spontaneous, adventurous, and with limited context App, FB dating can attract the middle-age, professional, and mature audience.

This leaky server exposed the personal details, images, location data, phone numbers, and dating preferences for ~72K users, believed to be the app's entire userbase. The server was a live production system and not an older server used for tests or storing backups.
